1. Acceptance of Terms
By accessing or using Passwise (the “Platform”), you agree to these Terms and Conditions. If you don’t agree, please don’t use the Platform.
2. What Passwise Is
Passwise is an access-management platform that connects businesses — sports venues, gyms, malls, offices, and other mixed-use spaces — with the people who book, visit, or hold passes at those spaces. Passwise provides the booking, scheduling, and access tools; the businesses listed on the Platform are responsible for the spaces, services, and experiences they offer.
3. Accounts
You must provide accurate information when creating an account and keep your login credentials secure. You’re responsible for all activity under your account.
4. For Businesses and Partners
If you register a venue, gym, mall, office, or other space on Passwise:
- Every partner request is reviewed before the account goes live.
- You’re responsible for the accuracy of the information you provide, and for complying with applicable laws in how you run your space.
- You set your own pricing, cancellation, and refund policies for your bookings, memberships, or passes, and you are solely responsible for communicating and honoring them.
- Passwise does not process payments on your behalf. Any payment you collect from your customers is handled through your own payment provider, and that transaction is between you and your customer.
5. For Customers
When you book, check in, or hold a pass through Passwise:
- You agree to follow the rules of the specific venue, gym, mall, or office you’re visiting.
- Passes and bookings are subject to the policies of the business you booked with, including its cancellation and refund terms.
- Passwise is not responsible for the conduct, safety, or service quality of the businesses listed on the Platform.
6. Payments
Passwise does not currently charge for use of the core Platform and does not process payments for bookings, memberships, or tickets. Where a business requires payment, that payment happens directly between you and the business. If Passwise introduces paid features in the future, we’ll update these Terms accordingly.
7. Prohibited Conduct
You agree not to misuse the Platform, including by providing false information, interfering with its operation, attempting unauthorized access, or using it for any unlawful purpose.
8. Intellectual Property
The Passwise name, logo, and platform are owned by Passwise. You may not use them without our permission.
9. Disclaimers
The Platform is provided “as is.” We don’t guarantee that it will be uninterrupted, error-free, or that any particular venue, gym, mall, or office will meet your expectations.
10. Limitation of Liability
To the fullest extent permitted by law, Passwise is not liable for indirect, incidental, or consequential damages arising from your use of the Platform, including damages arising from your dealings with businesses listed on it.
11. Termination
We may suspend or terminate access to the Platform for any account that violates these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes take effect means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which Passwise operates, without regard to conflict-of-law principles.
